Terms of Service
The draft commercial and platform-use terms for OpsClinica clinic customers.
1. Operator and the service
OpsClinica is developed and operated by Ziloah Solutions, an independent freelance business based in Mintal, Davao City, Philippines. OpsClinica provides a hosted clinic operations platform with features that may include booking, intake, consent capture, appointment management, patient messaging, staff workspaces, waitlists, notifications, reporting, and subscription administration. The applicable order form, plan, or subscription flow identifies the services available to a customer.
2. Customer responsibilities
Each clinic is responsible for its care delivery, clinical decisions, patient relationship, staff permissions, notices, consent language, content, and lawful collection and use of information. Customers must keep accounts secure, assign the least access needed, and promptly remove departed staff.
3. Not emergency or clinical decision support
OpsClinica is an administrative and communications platform. It is not an emergency service, medical device, diagnostic tool, or substitute for professional clinical judgment. Customers must provide patients with appropriate emergency-contact instructions and clinical support.
4. Accounts, plans, and billing
Clinic owners manage their organisation's plan and authorised users. Paid subscriptions, trials, promotions, and cancellations are subject to the plan terms displayed at purchase and the applicable payment provider's terms. The final agreement must state pricing, taxes, renewal, cancellation, refund, and suspension rules.
5. Data protection, data export, and acceptable use
Customer patient data is governed by the applicable data-processing terms. Customers may not use the platform unlawfully, attempt unauthorised access, upload harmful code, or use the service in a way that compromises another clinic's data or the platform's security. Subject to the clinic agreement and applicable law, data associated with an expired clinic subscription may be marked for deletion after 90 days. Before scheduled deletion, OpsClinica will email the clinic owner and provide an opportunity to export data. A paid data-retrieval request may be available after that period where data remains recoverable and lawfully available.
6. Governing law and required completion
These terms are governed by the laws of the Republic of the Philippines. Subject to applicable law, the courts of Davao City have exclusive jurisdiction over disputes arising from these terms. Before production use, counsel must complete the contracting-party details, dispute process, liability limits, warranty disclaimer, and jurisdiction-specific clauses.
